Terms of Use.

The rules that govern access to and use of the Cateno.ai workflow orchestration platform.

Agreement to Terms

Welcome to Cateno.ai (the "Service"), a workflow orchestration tool owned and operated by Rocket Financial Inc. ("Rocket Financial"), a financial services company located at 1000 N West St, Suite 1200, Wilmington, DE 19801 USA.

These Terms of Use ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Rocket Financial, concerning your access to and use of the Service, as well as any related services, sales, marketing, events or activities (collectively, the "Services").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you are prohibited from using the Service and must discontinue use immediately.

Account Registration and Use

2.1 Eligibility

To use the Service, you must be at least 18 years old and have the legal capacity to enter into a contract. You represent and warrant that you meet these requirements. You must be using the Service on behalf of a business entity.

2.2 Account Creation

You will need to create an account to access certain features of the Service. When creating your account, you agree to provide accurate, current and complete information. You are responsible for maintaining the confidentiality of your account credentials.

2.3 Authorized Users

You may authorize employees, contractors, or other agents ("Authorized Users") to access and use the Service on your behalf. You are responsible for ensuring that your Authorized Users comply with these Terms.

2.4 Account Security

You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any losses or damages resulting from unauthorized access to your account due to your failure to safeguard your credentials.

2.5 Acceptable Use

You agree not to use the Service:

  • In any way that violates any applicable federal, state, local, or international law.
  • To transmit any advertising or promotional material, including spam.
  • To impersonate Rocket Financial or any other person or entity.
  • To engage in conduct that restricts or inhibits anyone's use or enjoyment of the Service.
  • To upload or distribute any viruses, worms, or malicious code.
  • To attempt to gain unauthorized access to the Service or its networks.
  • To reverse engineer, decompile, or disassemble any portion of the Service.

Fees and Payment

Subscription Plans

Access to the Service is provided on a subscription basis. We reserve the right to change our subscription plans and fees at any time, upon reasonable notice to you.

Automatic Renewal

Your subscription will automatically renew at the end of each subscription period unless you cancel your subscription before the renewal date.

Fees are due in advance. We may use a third-party payment processor to process your payments. All fees are exclusive of any applicable taxes. Late payments may result in suspension or termination of access.

Intellectual Property Rights

The Service, including all software, technology, content and other materials, is owned by Rocket Financial or its licensors and is protected by copyright, trademark and other intellectual property laws.

Your Content

You retain ownership of any data, information or other content that you upload or submit to the Service ("Your Content"). You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify and distribute Your Content for the purpose of providing the Service to you.

Confidentiality

You agree to keep confidential any non-public information that you receive from us in connection with the Service, including technical information, product plans, pricing information and customer lists. You may use such confidential information only for the purpose of using the Service as permitted by these Terms.

Privacy

Please review our Privacy Policy, which also governs your use of the Service. Additionally, by using the Service, you acknowledge and agree that internet transmissions are never completely private or secure and that any message or information you send may be read or intercepted by others.

Disclaimers

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Rocket Financial does not warrant that the Service will be uninterrupted, error-free or free of viruses or other harmful components.

Limitation of Liability

To the fullest extent permitted by applicable law, Rocket Financial shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

In no event shall Rocket Financial's aggregate liability for all claims relating to the Service exceed the amount you paid to Rocket Financial during the three (3) months prior to the claim.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to the conflict of laws principles of any jurisdiction.

Any dispute arising out of or relating to these Terms shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Miami, Florida.

The arbitration may be conducted by virtual proceedings. You waive any right to a trial by judge or jury, including the right to join or participate in a class action lawsuit.
